The opportunity

Private markets hold some of the most valuable and innovative companies in the world, yet trading their equity still runs on email chains, PDFs and wire instructions. We believe that with the right infrastructure, private markets can become the biggest market in the world. Augment is building that infrastructure, end to end, to be the simplest experience for buying and selling shares in private companies.

As our senior capital markets lawyer, you’ll design the legal architecture underneath it. You’ll shape our investing playbook, build the templates that will integrate into the product at scale, and help grow our legal team.

About Augment

Accredited and institutional investors use Augment to buy and sell shares in some of the world’s most sought after private companies, including Perplexity, Kalshi, SpaceX (now public), and Glean. Augment was founded in 2022 with headquarters in Austin and an office in NYC.

We’re growing fast:

The Role

We're hiring a Director of Legal to lead the legal work behind Augment's revenue-generating investment products. You'll be the senior funds and securities lawyers on the team and report directly to our Head of Legal.

This isn't a conventional in-house role. Every week we execute complex private market transactions: single-asset and multi-asset SPVs, partnerships, side letters, escrow and settlement arrangements, and securities placements. We need a lawyer who can structure, negotiate and close deals, set the company's legal positions, and build the infrastructure that lets us scale.

You’ll cover the full range of revenue legal work, from senior structuring and strategy to high-volume execution. If you'd rather build a practice than inherit one, this is the seat.

🧑‍💻 You will:

Run single-asset SPV diligence and offerings

Run single-asset SPV diligence and offering reviews from Augment's playbooks
Handle escalations on complex or non-standard deals, and decide when a deal needs a different approach
Supervise outside diligence counsel, set review standards, and manage quality, turnaround and cost

Own multi-asset fund structuring and execution

Design the structure and template suite for Augment's multi-asset funds, and lead execution as the product ramps
Draft and negotiate operating agreements, subscription documents, purchase agreements and related organizational materials
Advise on entity formation, governance and dissolution across a growing portfolio of investment vehicles

Negotiate partnerships and investor terms

Track and manage side letter and investor obligations across the platform
Structure and negotiate partnership arrangements with platforms, funds and strategic counterparties

Lead PTP structuring and securities regulatory review

Lead PTP structuring review for direct investments and for indirect investments that run through lower-tier vehicles, including the entity classification analysis at each layer
Advise on Securities Act, Investment Company Act, broker-dealer and RIA considerations that affect deal execution, including Section 4(a)(7) resales, transfer restrictions and resale eligibility
Help manage conflict-of-interest disclosures, offering documents and investor disclosures

Serve as product counsel on investment features

Partner with product, engineering, business development and operations to launch new investment features and structures
Turn legal risk and structuring considerations into clear, launch-ready guidance that non-lawyers can act on
Oversee escrow, settlement mechanics and closing deliverables so transaction flows are legally sound and operationally executable

Build legal infrastructure

Build template libraries, playbooks and automated workflows so legal scales with deal volume. Augment is a software company, so you'll have engineers and product teams to help build what you design

🧠 You'd fit in well if:

You want to generate, implement and enforce our investing playbook, not just apply someone else's
You're excited by businesses that combine software, financial infrastructure and securities operations
You can move quickly between big-picture structuring and line-by-line document markup
You're comfortable building processes while doing the work, with lean resources
You have strong judgment and can simplify messy deal situations without oversimplifying them
You build trust with counterparties, co-investors, regulators and internal stakeholders
You stay responsive, reliable and calm when deals are closing

💡 Why Augment instead of a Bank or Big Law

At Augment, we measure success by how well and quickly we can build a big business.

Upside. Meaningful equity in a venture-backed company that's already operating at scale, in a market we believe is just getting started.
Ownership. You'll set Augment's positions on SPV structure, side letters and PTP analysis. Your templates become the product.
Scope. Funds, securities, broker-dealer, RIA and product counsel work in one seat. Few in-house roles touch this much of a regulated financial business.
Career path. You'll lead your own team, in a role built to grow into a VP-level position as legal scales.
No billable hours. No timesheets, no origination targets and no partnership lottery.
Flexibility. We're remote-first, with a hybrid New York option and unlimited PTO.
Timing. Private market secondaries are becoming core financial infrastructure. You'll help define how that market works.

Working command of securities law, Investment Company Act considerations, PTP rules, and broker-dealer and RIA regulatory frameworks
Excellent drafting skills, with strong attention to detail and commercial judgment
Ability to manage multiple deals at once and to make practical calls quickly
Interest in managing and developing other lawyers

Why This Role Matters

Augment's deal volume and complexity are growing fast. Every SPV, side letter, partnership and new product we launch needs careful structuring and skilled negotiation. You'll build the legal foundation that lets Augment scale, protects our investors, and helps define how private markets operate.
